Terms of Service

These Terms of Service (“Terms”) are a legal agreement between you and Passenger Post LLC, doing business as TheraPeers (“TheraPeers,” “we,” “us,” or “our”), governing your use of the TheraPeers platform, including the mobile application and website at therapeers.com (collectively, the “Platform”).

By creating an account or using the Platform, you agree to these Terms. If you do not agree, do not use the Platform.

1. What TheraPeers Is — and Is Not

TheraPeers is a professional network for licensed therapists. It allows licensed therapists to establish a public professional identity, publish content, recommend resources, consult with peers, and build a professional following.

TheraPeers is not a telehealth platform, not a therapy session service, and not an electronic health record system. We do not facilitate or mediate clinical care of any kind. No therapist-client relationship is created through the Platform. If you are in crisis or need immediate help, please contact the 988 Suicide and Crisis Lifeline (call or text 988) or emergency services (911).

A Therapist’s public profile may include a link to their own external website. If a member of the public reaches a Therapist through such a link, the Platform’s role ends at that introduction. Any therapy, consultation, scheduling, payment, or other professional relationship that follows is solely between the Therapist and the person who contacts them, and is governed by the Therapist’s own terms, not these Terms.

3. Account Registration and Security

You agree to provide accurate, current, and complete information when registering. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

You must notify us immediately at security@therapeers.com if you believe your account has been compromised. We are not liable for any loss resulting from unauthorized access to your account where you failed to notify us promptly.

You may not create accounts on behalf of others, impersonate any person or entity, or use another user’s account.

4. Therapist Accounts

4a. License Verification

All Therapist accounts are subject to license verification before public content can be published. Verification is performed through third-party professional license verification providers and/or manual review by TheraPeers staff. We reserve the right to suspend or terminate a Therapist account if verification fails or if a license lapses.

You represent and warrant that all license information you provide is accurate and current. Submitting false or misleading license information is grounds for immediate termination and may be referred to relevant licensing authorities.

4b. Profile Accuracy

Your profile is a professional representation. You are responsible for ensuring that your credentials, specialties, modalities, and other profile information are accurate and kept up to date. Misleading profile information — including overstating qualifications, listing lapsed licenses, or misrepresenting your practice — is a violation of these Terms.

4c. Content Publishing

Only Therapists with verified, active licenses may publish content visible to the public. Content you publish must comply with Section 5 (Content Standards) and applicable professional ethics guidelines for your license type.

By publishing content, you represent that it is consistent with your professional scope of practice and does not constitute clinical advice or treatment directed at any individual reader.

4d. Peer Interactions

TheraPeers allows you to follow peers, endorse other Therapists, comment on content, send direct messages, and take part in consultation groups. Peer follows and endorsements are public and attributed to you; direct messages and consultation-group content are visible only to the participants. You are responsible for your conduct toward peers, which must comply with Section 5 (Content Standards) and applicable professional ethics rules.

4e. Resource Recommendations

Therapists may add recommended resources — such as books, articles, and other materials — to their profile, which may include links to third-party retailers or websites. You are responsible for ensuring your recommendations are appropriate for your listed audience.

4f. External Website Link

Your profile may link to your own external website. You are responsible for ensuring this link is accurate and that your external website complies with applicable professional and legal requirements. TheraPeers is not responsible for the content or practices of your external website.

5. Content Standards

All content you submit, publish, or post on the Platform must comply with the following standards. You agree not to post content that:

TheraPeers reserves the right to remove any content that violates these standards, at our sole discretion, without prior notice. Repeated violations are grounds for account suspension or termination.

6. Intellectual Property

6a. Your Content

You retain ownership of content you publish on the Platform. By publishing content, you grant TheraPeers a non-exclusive, royalty-free, worldwide license to display, distribute, and promote your content on and through the Platform, including on public web pages indexed by search engines. This license ends when you delete the content or close your account, except for content that has been shared or indexed externally, which may persist in third-party caches.

6b. TheraPeers Content

The Platform, including its design, software, trademarks, and all content created by TheraPeers (excluding user content), is owned by us and protected by applicable intellectual property laws. You may not copy, reproduce, distribute, or create derivative works from any TheraPeers content without our prior written consent.

6c. Feedback

If you submit suggestions, ideas, or feedback about the Platform, you grant TheraPeers the right to use that feedback without restriction or compensation to you.

8. Termination and Suspension

We may suspend or terminate your account at any time for violation of these Terms, for conduct we determine is harmful to users or the Platform, or for any other reason at our sole discretion, with or without notice.

You may close your account at any time from within the app or from your dashboard settings. Upon closure, your personal data will be handled as described in our Privacy Policy.

Sections of these Terms that by their nature should survive termination will do so, including Sections 6 (Intellectual Property), 9 (Disclaimers), 10 (Limitation of Liability), 11 (Indemnification), and 12 (Dispute Resolution).

9. Disclaimers

The Platform is provided “as is” and “as available” without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

TheraPeers does not warrant that the Platform will be uninterrupted, error-free, or free of harmful components. We do not warrant the accuracy, completeness, or usefulness of any content on the Platform.

TheraPeers is not a licensed mental health provider. Content published by therapists on the Platform is for informational and educational purposes only and does not constitute professional advice. TheraPeers makes no representation regarding the quality, competence, or suitability of any therapist who maintains a profile on the Platform.

You are solely responsible for your decisions regarding any therapist you contact through or discover via the Platform. We strongly encourage you to conduct your own due diligence, including verifying a therapist’s license independently through your state licensing board.

10. Limitation of Liability

To the fullest extent permitted by applicable law, TheraPeers and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of data, loss of revenue, or personal injury, arising from your use of or inability to use the Platform, even if advised of the possibility of such damages.

To the fullest extent permitted by applicable law, TheraPeers’s total liability to you for any claim arising from or related to these Terms or the Platform shall not exceed the greater of (a) the amount you paid to TheraPeers in the twelve months preceding the claim, or (b) one hundred dollars ($100).

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability is limited to the fullest extent permitted by law.

11. Indemnification

You agree to indemnify, defend, and hold harmless TheraPeers and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from: (a) your use of the Platform; (b) your content; (c) your violation of these Terms; (d) your violation of any third-party right; or (e) in the case of Therapists, any claim related to your professional services or conduct.

12. Dispute Resolution

12a. Informal Resolution

Before filing any formal claim, you agree to contact us at legal@therapeers.com and attempt to resolve the dispute informally. We will make reasonable efforts to resolve disputes within 30 days of receiving written notice.

12b. Governing Law

These Terms are governed by the laws of the State of Oregon, without regard to conflict of law principles.

12c. Jurisdiction and Venue

Any dispute arising from or relating to these Terms or the Platform that cannot be resolved informally shall be brought exclusively in the state or federal courts located in Oregon. You consent to the personal jurisdiction of such courts and waive any objection to venue.

13. Platform Availability and Changes

We reserve the right to modify, suspend, or discontinue the Platform or any feature at any time, with or without notice. We are not liable to you or any third party for any modification, suspension, or discontinuation of the Platform.

We may update these Terms from time to time. If we make material changes, we will notify you by email or through a prominent notice on the Platform at least 30 days before the changes take effect. Continued use of the Platform after the effective date constitutes acceptance of the updated Terms.

14. Third-Party Links and Services

The Platform contains links to third-party websites, including therapists’ own external websites and resource retailer links. These links are provided for convenience only. We do not endorse and are not responsible for the content, privacy practices, or accuracy of any third-party website.

15. Professional Responsibility

Therapists on the Platform remain solely responsible for compliance with all applicable professional licensing requirements, ethics codes, and legal obligations in their jurisdiction(s). TheraPeers does not supervise, direct, or control your professional practice. The fact that your profile appears on the Platform does not constitute an endorsement of your services.

TheraPeers does not provide legal, medical, financial, or professional advice. Nothing on the Platform should be construed as such.

16. DMCA and Copyright Complaints

If you believe content on the Platform infringes your copyright, please send a notice to legal@therapeers.com including: (a) a description of the copyrighted work; (b) the URL of the allegedly infringing content; (c) your contact information; (d) a statement that you have a good faith belief the use is unauthorized; and (e) a statement under penalty of perjury that the information is accurate and you are the copyright owner or authorized to act on their behalf.

We will respond to valid DMCA notices and remove infringing content as required by law.

17. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and TheraPeers regarding your use of the Platform and supersede all prior agreements, representations, and understandings.

If any provision of these Terms is found to be unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force.

Our failure to enforce any provision of these Terms is not a waiver of our right to do so later.
